CINEMA + RESTAURANTS

1. PROMOTION DESCRIPTION

The campaign “CINEMA + F&B” (the “Promotion”) is organised by VIA OUTLETS MALLORCA, S.L.U., with its registered office in Marratxí (Mallorca), Mallorca Fashion Outlet – Management Offices, Autopista Palma-Inca km 7.1, CP 07141, registered with the Commercial Registry of Mallorca under sheet PM-92129 / volume 2918 / page 188, and with Tax ID No. B-86338977 (“VIA”).

The Promotion takes place at Mallorca Fashion Outlet, Autopista Palma-Inca km 7.1, 07141 – Marratxí (Mallorca) (the “Centre”) from 9 November 2026 to 25 November 2026, both dates inclusive (the “Promotion Period”), or until all the Gift Cards allocated to the Promotion have been delivered, whichever occurs first.

The Promotion consists of awarding one (1) gift card of the Centre loaded with ten euros (€10) (the “Gift Card”) to each Participant who, on the same day within the Promotion Period: (i) purchases a ticket for the cinema located in the Centre; and (ii) makes a purchase of at least twenty euros (€20), VAT included, in a single receipt, at any of the food and beverage establishments located in the Centre. To obtain the Gift Card, the Participant must present both receipts at the Centre’s Information and Tourism Point (“TIC”). After VIA has verified compliance with these Terms and Conditions, the Participant will receive the Gift Card. Participation is limited to one (1) participation per person per day, so that each Participant may obtain a maximum of one (1) Gift Card per day, in accordance with Section 2. The Promotion is limited to a maximum of five hundred (500) Gift Cards (including, where applicable, any Eurofashions delivered in accordance with Section 3).

For the purposes of this Promotion, the cinema of the Centre and all the food and beverage establishments located in the Centre shall be eligible (the “Eligible Establishments”). A minimum spend of €20, VAT included, in a single receipt is required at the food and beverage establishments; several receipts may not be combined to reach this amount. The cinema ticket and the food and beverage receipt must necessarily correspond to transactions made on the same day; receipts from different days shall not be valid, even if both fall within the Promotion Period. The Promotion is based on objective purchase requirements and does not involve any draw, random selection or game of chance.

2. PARTICIPANTS

Any natural person may participate in the Promotion, provided that they: (i) are at least 18 years of age; and (ii) participate in the Promotion as a private individual and not as part of their self-employed professional or commercial activities (hereinafter, the “Participant”). Minors may accompany the Participant to the cinema or to the food and beverage establishments, but only Participants who meet the above requirements may present the receipts at the TIC and receive the Gift Card.

Participation is personal and limited to one (1) participation and one (1) Gift Card per Participant per day during the Promotion Period, regardless of the number of cinema tickets or food and beverage receipts presented. Each pair of receipts (one cinema ticket and one food and beverage receipt) may only be used for a single participation. VIA may verify the Participant’s identity by requesting an official identification document, solely to confirm eligibility, prevent duplicate participation and avoid the reuse of receipts.

For the avoidance of doubt, the Promotion shall only be active during the Promotion Period specified in these Terms and Conditions. The following shall not be taken into account: receipts dated outside the Promotion Period; cinema tickets and food and beverage receipts dated on different days; food and beverage receipts for an amount below €20, VAT included; complimentary cinema tickets or invitations obtained free of charge; receipts corresponding to transactions that have been returned, cancelled or refunded; and duplicated, illegible, incomplete, altered or otherwise invalid receipts.

3. INCENTIVE

The incentive consists of one (1) Gift Card loaded with €10 per valid participation. The Gift Card may only be used for purchases at the outlet stores located in the Centre and may not be used at the food and beverage establishments or at the cinema of the Centre. No minimum purchase amount is required to use the Gift Card.

If, for any reason, it is not possible to deliver the Gift Card (including, without limitation, a shortage of physical cards or a technical incident affecting the gift card system), VIA reserves the right to deliver to the Participant, instead of the Gift Card, ten euros (€10) in Eurofashions. In that case, the Eurofashions shall be subject to the conditions of use applicable to them and, in any event, to the validity period and the remaining limitations set out in this Section 3, and any reference in these Terms and Conditions to the Gift Card shall be understood to also refer to the Eurofashions delivered.

The Gift Card may not be used on the day it is obtained. It may be used from the day following its delivery until 31 December 2026, inclusive. If the Gift Card is not used in full in a single purchase, the remaining balance may be used in subsequent purchases within the same validity period, subject to the conditions of use of the Centre’s gift card. Once the validity period has expired, the Gift Card and any unused balance shall lapse automatically, without any entitlement to compensation.

The incentive is as described in the preceding paragraphs and does not extend to any other concept not expressly specified therein.

The Gift Card may not be exchanged for cash, either in whole or in part, nor for any other benefit, and may not be resold. The Gift Card may only be used in accordance with these Terms and Conditions and the conditions of use of the Centre’s gift card. VIA shall not be liable for the loss, theft or deterioration of the Gift Card after its delivery.

In the event of a return of products purchased using the Gift Card, in whole or in part, the amount paid with the Gift Card shall in no case be refunded in cash. Such amount shall be refunded, where possible, by reloading the Gift Card or by other non-cash means in accordance with the return policy of the relevant establishment, and may only be used until 31 December 2026. Any amount paid by other means of payment shall be refunded in accordance with the return policy of the relevant establishment.

In compliance with applicable legislation, where relevant, VIA shall apply the corresponding withholding and make the relevant payment on account of Personal Income Tax in relation to the incentive awarded to the Participant and shall report such incentives in the relevant tax filings. Any tax implications arising from the receipt or use of the incentive shall be borne by the Participant, and VIA shall be held harmless from any liability in this regard to the extent permitted by law.

4. PARTICIPATION AND DELIVERY OF THE GIFT CARD

To participate, the Participant must go to the TIC during its opening hours and present the cinema ticket and the food and beverage receipt evidencing the transactions made on the same day (the “Receipts”). Receipts may be presented in physical or digital format (e.g. displayed on a mobile device), provided that they allow the information required below to be verified. TIC staff will record the numbers of the Receipts and the Participant’s ID document number and will mark the Receipts as used, so that they cannot be presented again. This processing is necessary to manage participation in the Promotion in order to prevent duplicate participation and the reuse of receipts, as described in further detail in the “Data Protection and Privacy” section.

To be valid, the Receipts must: (i) be original, complete and legible; (ii) clearly identify the issuing Eligible Establishment; (iii) show the date of the transaction, the receipt or transaction number and the amount paid, which, in the case of the food and beverage receipt, must be at least €20, VAT included; (iv) be dated on the same day as each other and within the Promotion Period; and (v) not have been previously used to participate in this Promotion. Under no circumstances may the same Receipt be presented more than once at the TIC. If TIC staff detect duplicate, illegible, altered, returned, cancelled, refunded or otherwise invalid Receipts, they may reject participation in the Promotion.

If any of the transactions evidenced by the Receipts is subsequently returned, cancelled or refunded, the corresponding participation shall be considered invalid and VIA may cancel the Gift Card (including any unused balance) or request its return, in accordance with Section 6.

Receipts must be presented at the TIC by 25 November 2026, inclusive, during the TIC’s opening hours. The Gift Card will be delivered at the time of validation, subject to prior verification of compliance with these Terms and Conditions and to the availability of Gift Cards. Receipts presented after this date or once all the Gift Cards have been delivered shall not give rise to any entitlement to the incentive.

5. FRAUD

Any attempt at fraud will result in the Participant’s immediate exclusion from the Promotion. Fraudulent conduct includes, without limitation, presenting false, altered, duplicated, returned, cancelled or refunded receipts; using receipts belonging to another person without authorisation; using the same receipt for more than one participation; providing false or inaccurate identification data; manipulating the Gift Cards or registration systems; or attempting to participate more than once per day. VIA may carry out proportionate checks and retain the minimum information necessary to document the incident and defend its rights.

6. NON-COMPLIANCE

If a Participant does not comply with the criteria set out in these Terms and Conditions, the Gift Card shall not be awarded.

If non-compliance is detected after delivery, VIA may cancel the Gift Card (including any unused balance) or request its return, to the extent permitted by law and provided that the Participant is informed of the reason for the measure.

7. LIABILITY

VIA shall not be liable for interruptions, technical incidents, errors in communications, temporary unavailability of systems or cancellation, suspension or modification of the Promotion when caused by force majeure, third-party acts or circumstances beyond VIA’s reasonable control. Nothing in these Terms and Conditions excludes or limits VIA’s liability for wilful misconduct, gross negligence, death or personal injury, consumer rights that cannot be waived, or any other liability that cannot legally be excluded.

Each Participant must take all necessary measures to protect their own data and/or the software of their electronic device, computer and/or website from any potential attacks.

Participation in the Promotion is the responsibility of each Participant, who must ensure that the information and Receipts submitted are accurate, valid and sufficient to evidence compliance with the Promotion requirements. VIA shall not be liable for the Participant’s failure to submit the required evidence or for errors attributable to the Participant, without prejudice to the rights recognised by mandatory consumer legislation.

VIA may, in good faith, verify whether Participants have complied with these Terms and Conditions, particularly with regard to the disqualification of any Participant who has abused the Promotion or attempted to circumvent its requirements.

8. CHANGES AND/OR CANCELLATION OF THE PROMOTION

VIA reserves the right to modify, suspend, extend or cancel the Promotion where there is a justified reason, force majeure, a technical or operational incident, legal requirement, fraud risk, or any other circumstance beyond VIA’s reasonable control that prevents the Promotion from being carried out as planned. Any material change shall be communicated through the same channels used to advertise the Promotion and shall not affect rights already acquired by Participants who fulfilled the requirements before the change was announced.

As set out in Section 1, the Promotion is limited to a maximum of five hundred (500) Gift Cards. Accordingly, the Promotion shall end on 25 November 2026 or when all the Gift Cards allocated to the Promotion have been delivered, whichever occurs first, without any entitlement to compensation for Participants. VIA will inform about the exhaustion of the Gift Cards at the TIC and through the channels used to advertise the Promotion.

VIA shall not be held liable if the Promotion has to be interrupted, delayed or even cancelled due to causes beyond its control.

Any matter not expressly provided for in these Terms and Conditions shall be resolved by VIA in good faith, in accordance with the purpose of the Promotion, the information provided to Participants and applicable law, and without prejudice to the rights recognised to consumers and users under mandatory legislation.

9. DATA PROTECTION AND PRIVACY

VIA shall process personal data as data controller for the purpose of carrying out and managing the Promotion, verifying compliance with the participation requirements, issuing and managing the Gift Cards, preventing and detecting duplicate or fraudulent participation, and handling claims or incidents. Such processing is based on the performance of the relationship arising from participation in the Promotion and VIA’s legitimate interest in preventing fraud, duplicate participation and reuse of receipts.

The categories of data processed may include identification data, the Participant’s official identity document number, receipt numbers, purchase information necessary to verify compliance with the requirements and the identification number of the Gift Card delivered. VIA shall not retain copies of identity documents unless this is strictly necessary to document an incident or claim.

No disclosures of personal data are envisaged, except to the brands of the Centre for the verification of receipts, purchase validity or potential fraud, and to competent authorities where there is a legal obligation or where necessary for the establishment, exercise or defence of legal claims. Additionally, the data may be processed by providers acting as data processors and following VIA’s instructions in the context of the provision of services. No international transfers of data are envisaged.

The data shall be processed by VIA while the Promotion remains open for participation. Once all prizes have been awarded, the data shall be retained for the period necessary to comply with VIA’s legal obligations, including the applicable limitation periods for any actions arising from the Promotion.

Each Participant has the right of access, rectification, erasure, objection, restriction of processing and data portability, which may be exercised by sending an email to [email protected], indicating in the subject line: “Ref: CINEMA + F&B Promotion”. Participants may also lodge a complaint with the Spanish Data Protection Agency if they consider that the processing of their data breaches these Terms and Conditions or applicable legislation.

We are committed to protecting the Participant’s privacy and only use personal data in accordance with applicable data protection laws.

10. APPLICABLE LEGISLATION AND JURISDICTION

These Terms and Conditions shall be governed by Spanish law. Any dispute arising from or in connection with the Promotion shall be submitted to the competent courts and tribunals.
